Welcome to AudioScout.

 

These Terms of Use (“Terms”) govern your access to and use of AudioScout websites, mobile applications, AudioScout O.W.L. devices, software, connected services, and other products and services that reference these Terms (collectively, the “Services”).

 

In these Terms, “AudioScout,” “we,” “us,” and “our” refer to AudioScout.

 

By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, please do not use the Services.

 

1. About AudioScout

 

AudioScout develops technology designed to help hunters and outdoor users gather scouting information through wildlife sounds.

 

The AudioScout O.W.L. — Omnidirectional Wildlife Locator — is a connected field device designed to detect certain wildlife sounds and provide related information through the AudioScout platform.

 

AudioScout products are scouting tools. They are intended to provide additional information that users may consider alongside their own observations, judgment, experience, and knowledge of field conditions.

 

2. Eligibility and Accounts

 

Certain AudioScout Services may require you to create an account.

 

You agree to provide accurate information and to keep your account information reasonably current.

 

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

 

You may not impersonate another person, create an account using information you are not authorized to use, or access another person’s account without permission.

 

If you believe your account or an O.W.L. associated with your account has been accessed without authorization, please contact AudioScout.

 

3. O.W.L. Devices and Connected Services

 

Certain O.W.L. features depend on cellular connectivity, GPS satellite reception, AudioScout servers, third-party networks, and other technologies.

 

An O.W.L. must establish the connections necessary for applicable connected features to operate.

 

When an O.W.L. successfully establishes required connectivity and becomes ready to monitor, AudioScout may provide a device-status notification indicating that the device is live and listening.

 

Receiving such a notification indicates the device successfully reported its operational status at that time. It does not guarantee uninterrupted future connectivity, detection, GPS reception, or operation.

 

4. Cellular Connectivity

 

O.W.L. devices are designed for outdoor and rural use, including areas where cellular service may be limited.

 

However, cellular connectivity is required for certain features, including transmitting detections and related information to the AudioScout platform.

 

Cellular performance can vary based on location, network availability, terrain, vegetation, network congestion, weather, carrier infrastructure, device placement, and other factors outside AudioScout’s control.

 

AudioScout does not guarantee cellular coverage or continuous connectivity at every location.

 

A loss or interruption of cellular service may delay or prevent detections, recordings, device information, notifications, or other information from reaching the AudioScout app.

 

5. GPS and Location Services

 

Certain O.W.L. features require GPS or other location information.

 

O.W.L. devices are designed to operate in outdoor environments and under normal tree cover, but heavy overhead cover, terrain, structures, or other obstructions may interfere with satellite reception or location accuracy.

 

Users should make reasonable efforts to deploy O.W.L. devices where they have a suitable view of the sky and where surrounding conditions support GPS and cellular operation.

 

GPS and mapping information may contain errors or inaccuracies and should not be relied upon as the sole means of navigation or personal safety.

 

6. Wildlife Detection

 

AudioScout uses software and machine-learning technology to identify certain wildlife sounds.

 

Wildlife detection is affected by real-world conditions.

 

Factors such as distance, wind, rain, terrain, vegetation, background noise, other animals, vehicles, echoes, nearby objects, device placement, microphone obstruction, and characteristics of the sound itself may affect detection performance.

 

As a result:

 

• An O.W.L. may occasionally identify a sound incorrectly;

• A target wildlife sound may occasionally go undetected;

• Detection confidence may vary;

• Performance may differ between locations and environmental conditions.

 

No wildlife-detection system can guarantee detection of every target sound under every condition.

 

7. Direction, Bearing, and Range Information

 

AudioScout may provide estimated direction, bearing, range, distance, or location information associated with a detected sound.

 

These measurements and estimates are intended to provide useful scouting information, but they are not guaranteed to be exact.

 

Sound behaves differently depending on terrain and environmental conditions. Wind, rain, vegetation, hills, valleys, cliffs, large trees, structures, echoes, reflections, and other factors can influence how sound reaches an O.W.L. and may affect estimated direction or distance.

 

Users should consider this information as one part of the overall scouting picture and apply their own field knowledge and judgment.

 

8. Device Placement

 

Proper placement can affect O.W.L. performance.

 

As a general principle, users should consider placing an O.W.L. in a location that would also make sense as a listening position for a hunter: reasonably open, elevated where practical, and away from large nearby objects that may block or reflect sound.

 

Users are solely responsible for determining whether they have permission to enter a location and deploy an O.W.L. there.

 

You may not place an O.W.L.:

 

• On property where you do not have permission to deploy it;

• In a location where deployment is prohibited by law or regulation;

• In a manner that creates an unreasonable safety risk;

• For the purpose of unlawfully monitoring or recording people; or

• In violation of hunting, wildlife, land-use, privacy, or other applicable laws.

 

9. Hunting and Wildlife Laws

 

Laws and regulations governing hunting, scouting technology, electronic devices, public land, private property, wildlife, and audio recording vary by jurisdiction and may change over time.

 

You are responsible for knowing and following the laws and regulations that apply where you hunt, scout, deploy, or use an O.W.L.

 

AudioScout does not provide legal advice and does not represent that every feature or use of an O.W.L. is lawful in every state, province, country, hunting unit, public property, or other jurisdiction.

 

The availability of a feature within the AudioScout app or on an O.W.L. does not mean that use of that feature is lawful in your particular location or hunting situation.

 

Always check applicable regulations before using AudioScout products in the field.

 

10. Hunting Success and Field Decisions

 

AudioScout provides scouting information.

 

AudioScout does not guarantee that wildlife will be present, vocal, detected, located, encountered, or harvested.

 

Wildlife behavior is inherently unpredictable.

 

Detection information should not replace good judgment, safe hunting practices, knowledge of terrain, weather awareness, navigation skills, or compliance with hunting regulations.

 

You remain responsible for all decisions you make in the field.

 

11. Audio Recordings

 

O.W.L. devices are designed to detect and record wildlife sounds.

 

Because microphones operate continuously or periodically in outdoor environments as necessary for detection, recordings may incidentally capture environmental sounds, vehicles, equipment, or human voices.

 

O.W.L. devices are not designed or intended for surveillance of people or for intentionally recording private conversations.

 

You agree not to use an O.W.L. to intentionally intercept, monitor, or record private communications or otherwise violate applicable privacy or recording laws.

 

You are responsible for how and where you deploy your O.W.L.

 

12. Improving AudioScout Technology

 

AudioScout technology is designed to improve over time.

 

As described in our Privacy Policy, detection recordings and related information may be accessed, reviewed, analyzed, and used by AudioScout to evaluate performance, identify false detections, improve accuracy, troubleshoot problems, train and evaluate machine-learning models, and develop recognition capabilities for additional wildlife sounds and species.

 

AudioScout may update its detection models, software, firmware, algorithms, and other technology over time.

 

These updates may modify how features operate, improve performance, add capabilities, change existing functionality, or address security and reliability issues.

 

13. Software and Firmware Updates

 

AudioScout may provide software, firmware, model, security, or other updates for O.W.L. devices and related Services.

 

Some updates may occur automatically.

 

You agree that AudioScout may download and install updates where reasonably necessary to operate, secure, maintain, or improve the Services.

 

Certain features may require a current version of the AudioScout app, device firmware, or related software.

 

AudioScout does not guarantee that every O.W.L. device will support every future feature indefinitely.

 

14. Cellular and Service Plans

 

Certain O.W.L. features require an active AudioScout service plan or other connected-service arrangement.

 

Service plans may be offered on a monthly, annual, or other basis and may include different features, usage allowances, or service levels.

 

Pricing, included services, billing frequency, renewal terms, cancellation procedures, and other material terms will be disclosed before you purchase or enroll in a paid service plan.

 

Where a plan automatically renews, the applicable renewal terms will be disclosed during enrollment, and any required consent will be obtained before recurring charges begin.

 

You are responsible for charges associated with the service plan you select.

 

AudioScout may change available plans or pricing prospectively, subject to applicable law and any notice required under the applicable plan terms.

 

15. Purchases, Returns, and Warranties

 

If AudioScout offers products for purchase, additional terms may apply to orders, shipping, returns, refunds, warranties, or product service.

 

Those terms will be provided or made available when applicable.

 

Any written warranty provided with an AudioScout product will be governed by the terms of that warranty and applicable law.

 

Nothing in these Terms is intended to limit consumer rights that cannot legally be waived or limited.

 

16. Acceptable Use

 

You may use the Services only for lawful purposes and in accordance with these Terms.

 

You may not:

 

• Use the Services to violate any law or regulation;

• Use an O.W.L. for unlawful surveillance;

• Attempt to gain unauthorized access to AudioScout systems, accounts, devices, or networks;

• Interfere with or disrupt the operation or security of the Services;

• Circumvent authentication, security, device, subscription, or access controls;

• Introduce malware, malicious code, or other harmful technology;

• Use automated systems to access the Services in a manner that places an unreasonable burden on our infrastructure;

• Misrepresent your identity or affiliation with AudioScout;

• Use AudioScout intellectual property in a way that falsely suggests endorsement, sponsorship, or affiliation; or

• Use the Services in any manner that infringes the rights of another person.

 

17. Intellectual Property

 

The Services and their contents, including AudioScout branding, software, designs, graphics, text, interfaces, photographs, videos, audio, documentation, product designs, and other materials, are owned by or licensed to AudioScout and are protected by applicable intellectual-property laws.

 

AudioScout, AudioScout O.W.L., associated logos, branding, and other source-identifying marks are trademarks or claimed trademarks of AudioScout or their respective owners.

 

Except as expressly permitted, these Terms do not grant you ownership of or a license to use AudioScout intellectual property.

 

You may not copy, reproduce, distribute, modify, reverse engineer, create derivative works from, or commercially exploit protected portions of the Services except as permitted by applicable law or with AudioScout’s written permission.

 

18. Feedback

 

We welcome feedback, ideas, suggestions, field observations, and other input about AudioScout.

 

If you voluntarily provide feedback to us, you agree that AudioScout may use that feedback to evaluate, develop, improve, and promote our products and Services without an obligation to compensate you.

 

This does not transfer ownership to AudioScout of your honest reviews, photographs, videos, or other consumer content merely because you share an opinion about AudioScout publicly.

 

19. Third-Party Services

 

AudioScout may rely on or integrate with third-party services, including cellular networks, mapping services, cloud infrastructure, app stores, payment processors, and other technology providers.

 

AudioScout does not control all third-party services and cannot guarantee their continuous availability or performance.

 

Your use of certain third-party services may also be subject to the terms and privacy policies of those providers.

 

20. Availability and Changes to the Services

 

We work to keep AudioScout Services available and reliable, but we do not guarantee uninterrupted or error-free operation.

 

Services may occasionally be unavailable because of maintenance, software updates, network outages, cellular interruptions, third-party failures, security issues, natural events, or circumstances beyond our reasonable control.

 

AudioScout may modify, improve, add, discontinue, or change features over time.

 

Where required by law or applicable contractual terms, we will provide appropriate notice of material changes.

 

21. Disclaimer of Warranties

 

Except for any express written warranty provided with an AudioScout product and to the fullest extent permitted by applicable law, the Services are provided on an “as available” basis.

 

AudioScout does not guarantee that the Services will be uninterrupted, error-free, or capable of detecting every wildlife sound or providing perfectly accurate location, direction, distance, or other information.

 

Nothing in these Terms excludes or limits warranties, guarantees, or consumer rights that cannot legally be excluded or limited.

 

22. Limitation of Liability

 

To the fullest extent permitted by applicable law, AudioScout will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of, inability to use, or reliance upon the Services.

 

This may include losses resulting from missed or incorrect detections, inaccurate estimates, cellular or GPS interruptions, loss of data, third-party network failures, wildlife behavior, hunting decisions, property access, or other field conditions.

 

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

 

23. Indemnification

 

To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, or expenses arising from your unlawful use of the Services, violation of these Terms, unauthorized placement of an O.W.L., or violation of another person’s rights.

 

This provision does not apply where prohibited by applicable consumer-protection law.

 

24. Termination or Suspension

 

AudioScout may suspend or restrict access to the Services when reasonably necessary to protect users, devices, networks, or AudioScout systems; investigate suspected fraud or unlawful activity; enforce these Terms; or comply with legal requirements.

 

You may stop using the Services at any time, subject to any applicable service-plan, account, billing, or cancellation terms.

 

25. Privacy

 

Your use of the Services is also subject to the AudioScout Privacy Policy, which explains how we collect, use, and share information.

 

26. Changes to These Terms

 

We may update these Terms as AudioScout products, technology, services, or legal requirements evolve.

 

When we make changes, we will update the Effective Date at the top of these Terms.

 

If changes are material, we may provide additional notice where appropriate or required by law.

 

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

 

27. Governing Law and Dispute Resolution

 

The laws applicable to these Terms and any dispute-resolution procedures may be further specified when AudioScout’s operating legal entity and commercial sales terms are finalized.

 

Nothing in these Terms is intended to deprive consumers of protections or rights that cannot legally be waived under applicable law.
